GLOBAL AGREEMENTS AND ASSIGNMENT OF OWNERSHIP

HitMaker Radio Assignment of Ownership and Participation Agreement

Effective Date:September 8, 2026
Owner and Operator: Trigger Media Group LLC, an Oregon limited liability company, together with its affiliates, subsidiaries, successors, and assigns (“Trigger Media,” “we,” “us,” or “our”).

Program: HitMaker Radio (also referred to as “HM Radio”), a weekly listener-driven radio program and content property produced and distributed by Trigger Media through participating broadcast stations, streaming platforms, and partner networks.

1. NATURE OF THIS AGREEMENT

1.1 Purpose

This HitMaker Radio Assignment of Ownership and Participation Agreement (this “Agreement”) governs your submission of original lyrics, song hooks, ideas, stories, themes, or other text-based creative material (collectively, your “Submission”) to Trigger Media in connection with HitMaker Radio, and your participation in all related activities, including selection, production, broadcast, voting, prizes, and promotion.

1.2 Core Effect

By submitting any material or otherwise participating, you:

1.3 Blunt Notice

You have been clearly informed, repeatedly and in plain language, that participation means assigning ownership and surrendering rights. Our website, submission flow, and studio environment all state, in substance: “If you submit it, you lose it.” This is not hidden, subtle, or accidental. It is the entire point of the program.

1.4 No Confidential Relationship

Your Submission is not confidential. No confidential, fiduciary, employment, partnership, or joint-venture relationship is created by your submission or by our review, production, or use (or non-use) of your Submission.

2. DEFINITIONS

For purposes of this Agreement:

2.1 “Submission” means any original lyrics, song hooks, ideas, stories, themes, or other text-based creative material you submit to Trigger Media through the HitMaker Radio website, email, voicemail (as expressly permitted), or other authorized channels.

2.2 “Produced Song” means any fully produced musical composition and sound recording created by Trigger Media or its studio, musicians, producers, or contractors that is based on, derived from, or inspired by your Submission, including all arrangements, performances, mixes, masters, edits, versions, and derivative works.

2.3 “Participant” means any individual who submits a Submission, votes, interacts with the program, or otherwise participates in HitMaker Radio.

2.4 “Trigger Media” means Trigger Media Group LLC (Oregon EIN 33-3495947), its affiliates, subsidiaries, successors, and assigns, including Hidden Producer Studios and any publishing or distribution entities designated by Trigger Media.

2.5 “Platform Partners” means broadcast station groups, networks, streaming services, social platforms, sponsors, prize providers, and other third parties that distribute, promote, or support HitMaker Radio.

2.6 “Prizes” means any prizes, awards, digital copies, vinyl pressings, album packages, experiences, or other items that may be awarded to selected Participants as described in Section 8.

3. ELIGIBILITY AND EXCLUSIONS

3.1 Age and Residency

Participation is open only to legal residents of the United States who are at least 16 years of age at the time of submission. However, only individuals 18 years of age or older may execute this Agreement and assign ownership rights. If you are 16 or 17, you may submit only if a parent or legal guardian co-signs this Agreement on your behalf and consents to all terms herein.

3.2 Employee and Affiliate Exclusion

The following are not eligible to submit or win Prizes:

3.3 One Submission Per Session

Each Participant may submit one (1) Submission per browser session on the HitMaker Radio website. Multiple submissions from the same person, email address, phone number, IP address, or household in excess of this limit may be disqualified at Trigger Media’s sole discretion.

3.4 Compliance with Law

Participation is void where prohibited by law. You are responsible for compliance with all applicable laws in your jurisdiction.

4. SUBMISSION PROCESS AND REPRESENTATIONS

4.1 What May Be Submitted

HitMaker Radio accepts text-based Submissions only, including lyrics, song hooks, ideas, stories, and themes. We do not accept listener music, melodies, recorded vocals, sheet music, audio messages (except limited callback voicemails as expressly invited), video, photos, or artwork.

4.2 Education and Acknowledgment

Before submitting, you have been provided with clear educational materials explaining music rights, assignment, and licensing, including the statement:

“If your submission is selected, Trigger Media Group LLC will own the resulting song and recording, and you will not receive ongoing royalties or writer/publisher shares unless we separately agree in writing.”

By submitting, you acknowledge that you have had the opportunity to review these materials and that you understand the effect of this Agreement.

4.3 Your Representations and Warranties

You represent and warrant that:

4.4 Indemnity

You agree to indemnify, defend, and hold harmless Trigger Media, Platform Partners, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Submission, your breach of this Agreement, or your violation of any rights of another.

5. ASSIGNMENT OF OWNERSHIP

5.1 Assignment of Submission

In exchange for the opportunity to participate and the consideration described in Section 8, you hereby irrevocably assign, transfer, and convey to Trigger Media, its successors, and assigns, 100% of your right, title, and interest in and to your Submission, including all copyrights and any other intellectual property rights, throughout the world, in perpetuity, in all media now known or hereafter created.

5.2 Work Made for Hire

To the fullest extent permitted by applicable law, your Submission and any Produced Song based on it shall be considered a work made for hire for Trigger Media. If, for any reason, it is not deemed a work made for hire, then the assignment in Section 5.1 shall operate as a present and future transfer of all rights.

5.3 Resulting Works Owned by Trigger Media

You acknowledge and agree that:

5.4 No Obligation to Use

Trigger Media has no obligation to produce, broadcast, or otherwise use your Submission. If your Submission is not selected, it will be discarded after the applicable 13-week season and will not be returned. Trigger Media retains the right, but not the obligation, to use any Submission at its sole discretion, with no additional compensation to you.

6. SURRENDER OF RIGHTS; NO ROYALTIES; PRO WAIVER

6.1 No Royalties or Writer/Publisher Shares

You expressly agree that you will not receive any ongoing royalties, writer shares, publisher shares, or other compensation from Trigger Media or any Platform Partner in connection with any Produced Song, beyond the Prizes (if any) described in Section 8.

6.2 PRO Waiver

You agree that you will not register and will not claim any writer or publisher share or any public performance, mechanical, or other royalties through ASCAP, BMI, SESAC, GMR, or any other performance rights organization, collective management organization, or similar entity in connection with any Produced Song. If any such registration is mistakenly made, you agree to promptly correct it at your own expense and to cooperate fully with Trigger Media to ensure that all rights and royalties are directed to Trigger Media or its designee.

6.3 Moral Rights Waiver

To the fullest extent permitted by law, you hereby waive any and so-called “moral rights” (including rights of attribution and integrity) you may have in your Submission and any Produced Song, and you agree that Trigger Media may modify, adapt, edit, shorten, translate, or otherwise use your Submission and Produced Song without your approval or objection.

6.4 No Approval Rights

You shall have no right to inspect, approve, or object to:

7. USE OF NAME, VOICE, AND LIKENESS

7.1 Publicity Grant

As part of your participation, you grant Trigger Media and Platform Partners the right to use your name, city, voice (including limited callback voicemails), likeness, photograph, Submission, and biographical information in connection with HitMaker Radio, including on-air, online, in social media, in advertising, and in promotional materials, without additional compensation.

7.2 Credit

Trigger Media may, at its sole discretion, credit you as the submitter of a Produced Song on-air, on the website, or in related materials during the active 13-week season. After the season, your name may be removed from archives and listings, and future uses may be uncredited.

7.3 No Endorsement

Except as expressly stated in writing, nothing in this Agreement shall be construed to mean that you endorse Trigger Media, any Platform Partner, or any product or service.

8. PRIZES AND CONSIDERATION (COMMERCE LOOP)

8.1 Consideration

As consideration for the assignment of ownership and rights granted in this Agreement, Trigger Media may, at its sole discretion, award Prizes to selected Participants as described below. You acknowledge that the chance to win Prizes, together with the digital copy of a Produced Song (if selected), constitutes valuable consideration supporting this Agreement.

8.2 Types of Prizes

Prizes may include, without limitation:

8.3 No Guarantee; Substitution

Prizes are not guaranteed. Trigger Media may substitute any Prize with another of comparable or greater value at its sole discretion. Details, availability, and value of Prizes may vary.

8.4 Taxes

Any prize value may be reported to tax authorities as required by law. You are solely responsible for any taxes arising from your participation or Prizes.

8.5 Eligibility to Win

To receive a Prize, you must meet all eligibility requirements, comply with this Agreement, and, if requested, sign and return any additional forms (e.g., affidavit of eligibility, release) within the time specified by Trigger Media. Failure to comply may result in disqualification and forfeiture of the Prize.

9. VOTING, SELECTION, AND CONTEST MECHANICS

9.1 Selection Process

Each week, nine (9) Submissions are randomly drawn from all eligible Submissions received during the submission window. These nine “challengers” face the returning champion from the prior week. Audience voting determines which song wins the title of “HitMaker Hit” and returns the following week.

9.2 Voting

Voting is conducted through Trigger Media’s controlled platforms. Each listener may vote as permitted by the rules posted for each voting period. Trigger Media may limit votes per person, email, phone number, IP address, or household to prevent abuse.

9.3 Finality

All decisions regarding eligibility, selection, voting, and Prizes are final and binding. Trigger Media reserves the right to disqualify any person it determines to be tampering with the process, using automated means, or otherwise violating this Agreement.

9.4 Changes to Program

Trigger Media may cancel, suspend, modify, or terminate HitMaker Radio or any portion thereof at any time for any reason, including technical issues, tampering, or unforeseen events. In such cases, Prizes may be awarded in a manner Trigger Media deems fair and equitable.

10. DISCLAIMERS; NO WARRANTY; “AS IS”

10.1 No Warranty

ALL PRIZES AND PRODUCED SONGS ARE PROVIDED “AS IS.” TO THE FULLEST EXTENT PERMITTED BY LAW, TRIGGER MEDIA AND PLATFORM PARTNERS MAKE NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE PRIZES, PRODUCED SONGS, OR YOUR PARTICIPATION, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Success Promise

Trigger Media does not promise or guarantee that any Produced Song will become a commercial success, receive airplay beyond the program, generate income, or be used in any particular way.

11. RELEASES; INDEMNITY; LIMITATION OF LIABILITY

11.1 Release

To the fullest extent permitted by law, you release and forever discharge Trigger Media, Platform Partners, and their respective officers, directors, employees, agents, and affiliates from any and all claims, liabilities, damages, losses, or expenses arising out of or related to your participation, your Submission, any Produced Song, or the award or use of any Prize.

11.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRIGGER MEDIA AND PLATFORM PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR PARTICIPATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY IS TO STOP PARTICIPATING.

11.3 Indemnity

In addition to Section 4.4, you agree to indemnify and hold harmless Trigger Media and Platform Partners from any claim brought by you or any third party related to your participation, Submission, or breach of this Agreement.

12. DATA HANDLING AND PRIVACY

12.1 Minimal Retention

Trigger Media collects and retains only the minimum personal data necessary to administer the program: your name, email address, phone number, age confirmation, and acceptance of this Agreement. This data is stored temporarily (e.g., in Supabase or equivalent systems) solely for the purpose of running the weekly drawing, contacting selected Participants, and coordinating any on-air follow-up.

12.2 Deletion

After the applicable week’s show and necessary follow-up, Trigger Media deletes or otherwise stops retaining your submission-related data. Trigger Media does not permanently store lyrics, ideas, stories, or other text Submissions, and does not maintain long-term profiles or histories of Participants.

12.3 No Sale of Data

Trigger Media does not sell your personal data. Limited sharing may occur with Platform Partners solely for program administration, prize fulfillment, or legal compliance.

12.4 Security

Trigger Media implements reasonable security measures, but you acknowledge that no system is completely secure. By participating, you accept the inherent risks of online data transmission.

13. GOVERNING LAW; VENUE; MANDATORY ARBITRATION; CLASS-ACTION WAIVER

13.1 Governing Law

This Agreement and all matters arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of laws principles, and to the extent applicable, the laws of the United States, including the Copyright Act and the Federal Arbitration Act.

13.2 Venue

Any judicial proceeding that is not subject to arbitration under this Section 13 shall take place in the state or federal courts located in Multnomah County, Portland, Oregon, or the U.S. District Court for the District of Oregon, as applicable. You consent to the personal jurisdiction of these courts.

13.3 Mandatory Arbitration

EXCEPT WHERE PROHIBITED BY LAW, ANY CLAIM, CONTROVERSY, OR DISPUTE ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR PARTICIPATION SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION ADMINISTERED BY A RECOGNIZED ARBITRATION PROVIDER (E.G., JAMS OR AAA) IN PORTLAND, OREGON, IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES THEN IN EFFECT. THE ARBITRATOR SHALL APPLY OREGON LAW CONSISTENT WITH THE FEDERAL ARBITRATION ACT.

13.4 Filer Pays (With Fallback)

THE PARTY INITIATING ARBITRATION (“FILER”) SHALL BE RESPONSIBLE FOR ALL FILING AND HEARING FEES, SUBJECT TO ANY MINIMUM REQUIREMENTS OF APPLICABLE LAW. IF A COURT OR ARBITRATOR FINDS THIS “FILER PAYS” PROVISION UNENFORCEABLE UNDER APPLICABLE LAW, THEN THE MINIMUM REQUIRED BY LAW SHALL APPLY, BUT THE REST OF THIS ARBITRATION CLAUSE SHALL REMAIN IN EFFECT.

13.5 Class-Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED.

13.6 Arbitration Opt-Out

[Optional: Include if desired; otherwise omit.] If you wish to opt out of arbitration, you must send written notice to compliance@triggermedia.us within 30 days of your first submission, stating your name, address, and that you opt out of arbitration. Otherwise, you are bound by this arbitration clause.

14. MISCELLANEOUS

14.1 Entire Agreement

This Agreement, together with any expressly incorporated documents, constitutes the entire agreement between you and Trigger Media regarding your Submission and participation, and supersedes all prior or contemporaneous understandings.

14.2 Amendments

Trigger Media may amend this Agreement at any time by posting the revised version on the HitMaker Radio website. Your continued participation after such posting constitutes acceptance of the amended terms.

14.3 Severability

If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

14.4 Assignment

You may not assign your rights or obligations under this Agreement. Trigger Media may assign its rights and obligations to any affiliate, successor, or Platform Partner.
